Terms and Conditions

    Last updated: September 29, 2026

Important: Courier Billing is an independent software product. It is not affiliated with, endorsed by, sponsored by, or connected to DTDC, any courier network, or any franchisor. You alone are responsible for your compliance with DTDC or other third-party rules, your contracts with clients, and your statutory tax and invoicing obligations.

    1. Definitions

“Service” means the Courier Billing software made available to you online (including the website, authenticated web application, APIs we expose to your browser, documentation, and any trial or demo experiences we operate).

“User”, “you”, “your” means the individual or legal entity that registers for or uses the Service. If you use the Service on behalf of a company, you represent that you have authority to bind that entity.

“Content” means all data you (or users on your account) submit, import, generate, or store in the Service—including upload sessions, consignment or booking rows, client records, price lists, assignments, invoice drafts, PDFs, attachments, and free-text fields.

    2. Agreement

By creating an account, starting a trial, paying for a subscription, or otherwise using the Service, you agree to these Terms, our Privacy Policy, and our Cancellation and Refund Policy (together, the “Agreement”). If you do not agree, do not use the Service.

    3. What the Service does (and does not do)

Courier Billing provides tools to help you organise Franchise-style billing workflows, including importing spreadsheet or export data, recording daily and walk-in bookings, maintaining clients and price tables, classifying parcels by location and lane, assigning consignments to clients, tracking expenses, estimating courier cost and profit, viewing analytics, working across more than one Franchise where your plan allows, and generating GST-oriented invoice PDFs. Parts of the Service can be used offline and sync when you reconnect. Features may evolve; we may add, change, or retire capabilities with reasonable notice where practicable.

    The Service is not:

    • Legal, accounting, or tax advice.
    • A guarantee that any particular invoice wording, tax treatment, or rate is correct for your situation.
    • A statement of your actual courier charges. Cost, margin, and profit figures are estimates calculated from the rates, locations, and amounts you configure or enter, and from Booking Data you upload; check them against your franchisor’s statements.
    • An official DTDC system or a substitute for any mandatory portal required by your franchisor or government.

    4. Licence to use the Service

Subject to this Agreement and your payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes. You may not:

    • Copy, modify, or create derivative works of our software except as allowed by applicable mandatory law.
    • Reverse engineer, decompile, or attempt to extract source code except to the limited extent expressly permitted by law.
    • Resell, white-label, or operate the Service as a bureau for unrelated third parties without our prior written consent.
    • Probe, scan, or test the vulnerability of our systems, or circumvent technical limits or security controls.
    • Use bots, scrapers, or excessive automation against the Service except through documented APIs we provide.
    • Use the Service in any manner that violates law or infringes others’ rights.

    5. Accounts, eligibility, and security

You must provide accurate registration information and keep it current. You are responsible for safeguarding passwords, API keys, or other credentials and for all activity under your account. You must notify us promptly of unauthorised use. We may ask you to verify your email with a one-time code at signup and for sensitive actions. Sign out on shared devices, because the Service may keep an offline copy of your data on the device you use.

You can permanently delete your account from Profile → Security. Deletion removes your account and workspace data and cannot be undone, except that we may keep records the law requires (see the Privacy Policy).

We may apply eligibility rules (for example restricting signup to certain email domains or organisations) as communicated on the signup page or in onboarding. We may refuse or close accounts that do not meet those rules or that present fraud or abuse risk.

    6. Acceptable use

You will not use the Service to:

    • Violate applicable laws (including tax, anti-bribery, export control, or data-protection laws).
    • Upload malware, unlawful content, or content you do not have the right to use.
    • Misrepresent identities, fabricate consignments, or issue invoices you know to be false or misleading.
    • Harass our staff or other users, or misuse support channels.
    • Overload the Service (for example by attempting unreasonable bulk operations outside fair use).

We may suspend or terminate access if we reasonably believe you have breached this Section or pose a security or legal risk.

    7. Your content and responsibilities

You retain ownership of your Content. You grant us a worldwide licence to host, process, transmit, display, and back up your Content solely to provide, secure, and improve the Service and to comply with law. You represent that you have all rights needed to upload your Content and that doing so does not violate third-party rights.

    You are solely responsible for:

    • The accuracy of weights, destinations, rates, GST breakdowns, and narrative fields on invoices.
    • Choosing the correct billing locations, rate cards, and series settings, and reviewing prices the Service fills in for you before you issue an invoice. Amounts you type in by hand override automatic calculations.
    • Reconciling regenerated invoices with your books if you change underlying data after issuance.
    • Maintaining your own archival copies where your auditor or regulator expects them.
    • Obtaining any consents required from data subjects whose personal data appears in uploads (for example client staff names or phone numbers).

    8. Fees, trials, and taxes

Paid plans (Starter, Growth, and Professional), monthly or yearly billing, monthly consignment limits, the number of Franchises included, add-on Franchise fees, and currency are as shown on our pricing page and at checkout at the time you pay. New accounts receive a 7-day free trial. Fees are billed in advance for each period. Payments are made by you through our payment partner and are not automatically recurring; we do not charge you again unless you initiate a new payment. If you reach a plan limit or your paid period ends, some actions (such as adding billing data) may be blocked until you upgrade or pay. Referral days we add to your account have no cash value.

Statutory taxes (such as GST in India) may be added to our fees where we are required to collect them. You are responsible for any taxes imposed on your business in connection with your use of the Service.

Cancellation and refunds are governed exclusively by our Cancellation and Refund Policy.

    9. Availability and changes

We aim for high availability but do not warrant uninterrupted or error-free operation. Maintenance, upgrades, internet outages, or third-party failures may cause downtime. Unless we have agreed a separate written SLA with you, we do not guarantee a particular uptime percentage. We may modify or discontinue features; where a change materially reduces core functionality for paying users, we will use reasonable efforts to provide advance notice.

    10. Intellectual property

We and our licensors own the Service, including software, visual design, trademarks, and documentation. Except for the limited licence in Section 4, no rights are granted to you. Feedback you voluntarily provide may be used by us without obligation or compensation to you.

    11. Confidentiality

We will treat your non-public business data as confidential and use it only as described in our Privacy Policy. You will treat non-public information about our pricing, security practices, or roadmap that we mark as confidential with reasonable care.

    12. Disclaimer of warranties

To the fullest extent permitted by law, the Service is provided “as is” and “as available”. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, quiet enjoyment, and non-infringement, except where such disclaimers are prohibited.

    13. Limitation of liability

To the maximum extent permitted by applicable law:

    • We are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunities, even if advised of the possibility.
    • Our aggregate liability arising out of or relating to the Agreement or the Service shall not exceed the greater of (a) the fees you paid us for the Service in the twelve (12) months before the event giving rise to liability, or (b) INR 100.

Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the minimum extent permitted.

    14. Indemnity

You will defend, indemnify, and hold harmless Courier Billing and its operators, contractors, and service providers from any third-party claims, fines, or costs (including reasonable attorneys’ fees) arising from your Content, your breach of this Agreement, or your violation of law.

    15. Suspension and termination

You may stop using the Service and request account closure at any time. We may suspend or terminate your account for breach, risk to the platform, extended non-payment, or if we discontinue the Service with reasonable notice where feasible.

Upon termination, your access ends. We may delete or retain data as described in the Privacy Policy. Provisions that by their nature should survive (including Sections 7 (your representations as to content already supplied), 10, 12–14, 17–19) survive termination.

    16. Force majeure

Neither party is liable for delay or failure caused by events beyond reasonable control, including natural disasters, war, civil unrest, epidemic, government orders, strikes, failures of public networks, or major third-party cloud outages.

    17. Governing law and disputes

This Agreement is governed by the laws of India, without regard to conflict-of-law principles. Subject to applicable law, courts located in Hyderabad, Telangana, India shall have exclusive jurisdiction over disputes arising out of or relating to the Service or this Agreement, and you consent to personal jurisdiction there.

    18. Changes to these Terms

We may update these Terms. We will post the new version and change the “Last updated” date. Material changes may also be notified by email or in-app message. If you continue to use the Service after the effective date, you accept the revised Terms. If you disagree, you must stop using the Service.

    19. Miscellaneous

If any provision is held unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign this Agreement without our consent; we may assign it in connection with a merger, acquisition, or sale of assets.

This Agreement (together with the Privacy Policy and Cancellation and Refund Policy) is the entire agreement between you and us regarding the Service and supersedes prior oral or written understandings.
